Vendor Terms

The rules for listing, selling, fulfilling and getting paid on AgriVesta — written plainly, applied consistently.

1. Purpose

These Vendor Terms govern your use of AgriVesta as a seller. They sit alongside our Terms of Service and Privacy Policy. Where these Vendor Terms address selling specifically, they take precedence; on all other matters the Terms of Service apply.

AgriVesta is a technology platform. It does not own, warehouse, inspect or transport the goods you list. The contract of sale is formed directly between you and the buyer.

2. Seller Eligibility

  • You must be at least 18 years old and legally capable of entering binding contracts in Kenya.
  • You must register with accurate personal or business details and a reachable Kenyan mobile number.
  • One seller account per person or business unless AgriVesta approves otherwise in writing.
  • Accounts previously suspended for serious breach may not be re-registered under a new identity.

3. Business Verification

Sellers trading as a registered entity may be asked to provide a certificate of incorporation or business registration, a KRA PIN certificate, and proof of the business address. AgriVesta may verify these documents with the issuing authority.

Why we verify

Verification is what allows buyers to pay strangers with confidence. Verified sellers receive a trust badge, appear higher in search, and typically convert more requests into paid orders.

4. Identity Verification

Individual sellers may be required to submit a government-issued identity document and a selfie or short liveness check. Identity documents are stored in a private, access-controlled bucket, are visible only to authorised AgriVesta reviewers, and are never shown to buyers. See the Privacy Policy for retention details.

5. Listing Standards

  • Titles must describe the actual product, without keyword stuffing or unrelated terms.
  • Photographs must be of the actual goods you are offering — no stock images misrepresenting condition or grade.
  • Quantity, unit, variety, grade and location must be accurate at the time of listing.
  • No contact details, social media handles, external links or payment instructions in any listing field.
  • Listings must be placed in the correct category and marketplace tab.

6. Product Quality

Goods supplied must match the listing description in variety, grade, condition and quantity, must be fit for their ordinary purpose, and must be safe. Perishable produce must be harvested, handled and packed to arrive in merchantable condition. Persistent quality complaints will affect your seller standing.

7. Product Ownership

You warrant that you lawfully own the goods you list, or are authorised by the owner to sell them, and that they are free of any charge, lien, or third-party claim. Listing stolen, smuggled or misappropriated goods results in immediate permanent closure and referral to law enforcement.

8. Pricing Rules

  • Prices must be quoted in Kenyan Shillings, inclusive of any tax you are obliged to charge.
  • The listed price must be the price you are genuinely willing to sell at.
  • No bait pricing, no artificial inflation before a discount, and no coordinated price manipulation with other sellers.
  • Any delivery or transport charge must be disclosed before the buyer is asked to pay.

9. Inventory Accuracy

You must keep available quantities current. When stock reaches zero, the listing is automatically hidden from the marketplace until you restock it from your profile. Accepting a Purchase Request reserves the stock for that buyer for 24 hours.

Repeated stock-outs

Accepting requests you cannot fulfil is the single most common cause of buyer refunds. Repeated failures to supply after acceptance may lead to suspension.

10. Response Time Expectations

Purchase Requests expire automatically after 48 hours. We expect sellers to accept, decline or counter within 24 hours. Your acceptance rate, decline rate and average response time are tracked and may be surfaced to buyers.

11. Order Fulfilment Obligations

Once payment is secured, you must dispatch the goods within the timeframe agreed with the buyer, update the order status honestly as it progresses, and keep proof of dispatch and delivery. Failure to fulfil a paid order entitles the buyer to a full refund under Buyer Protection.

12. Packaging Responsibilities

Goods must be packed appropriately for the distance, the mode of transport and the nature of the product, including ventilation and cold-chain handling for perishables. Damage caused by inadequate packaging is the seller's responsibility.

13. Delivery Responsibilities

Unless expressly agreed otherwise in the listing, the seller arranges delivery or pickup. AgriVesta does not transport goods and is not a carrier. Risk in the goods passes to the buyer on delivery and confirmation of receipt.

14. Communication Standards

  • Communicate through AgriVesta until payment is secured — this is what keeps the transaction covered.
  • Be courteous, prompt and factual. Abusive, discriminatory or threatening language is prohibited.
  • Do not solicit payment outside the platform, share phone numbers prematurely, or ask buyers to cancel and deal directly.

15. Prohibited Conduct

The following will result in enforcement action, up to permanent closure:

  • Counterfeit, imitation or unlicensed branded goods
  • Misrepresentation of variety, grade, origin, weight or condition
  • Price manipulation or collusion
  • Spam, bulk unsolicited messaging, or duplicate listings
  • Fake reviews, review solicitation for payment, or self-dealing transactions
  • Fake or speculative listings for goods you do not hold
  • Off-platform selling and payment circumvention
  • Abusive, harassing or discriminatory language
  • Illegal, restricted or unlicensed products

16. Agricultural Compliance

Sellers are solely responsible for compliance

Sellers are solely responsible for complying with all applicable Kenyan agricultural laws, standards and licensing requirements relating to the products they offer.

This includes, without limitation, certified seeds, fertilizers, pesticides and agrochemicals, veterinary medicines, and animal feeds. You must hold every licence, permit, registration and approval required by the relevant Kenyan regulator, and must produce copies to AgriVesta on request. Trading without them may lead to suspension, removal of listings or permanent account closure.

17. Vendor Warranties

Each time you publish a listing or accept a Purchase Request, you represent and warrant that:

  • You legally own the products or are authorised to sell them
  • The listing is accurate, current and not misleading
  • The products comply with all applicable Kenyan law
  • The products are safe, genuine, and not counterfeit or stolen
  • You hold all required licences, permits and approvals
  • You are able to supply the quantity offered within the stated timeframe

18. Commission Structure

The current standard AgriVesta commission is 7.5% of the order value, deducted from the seller payout on successful settlement. There are no listing fees, no monthly fees, and no commission if a deal does not complete.

Future revisions

AgriVesta reserves the right to revise commission rates in the future upon providing reasonable notice. Revised rates apply only to orders created after the notice period ends; the rate applicable to an order is fixed at the moment the order is created.

19. Payment Settlement

The payment flow is as follows:

  1. The buyer submits a Purchase Request. No money moves at this stage.
  2. You accept, and the stock is reserved for the buyer for 24 hours.
  3. The buyer pays through IntaSend by M-Pesa. AgriVesta does not hold customer funds.
  4. You are notified that payment is secured, contact details unlock, and you dispatch the goods.
  5. The buyer confirms delivery, or the confirmation window closes without a dispute.
  6. Settlement is released to your registered payout number, less the applicable commission.

Settlement may be paused where a dispute is open, where fraud is suspected, or where we are legally required to withhold funds pending investigation.

20. Taxes

Sellers remain solely responsible for their own tax obligations, including income tax, VAT and any withholding obligations arising from their sales. AgriVesta does not provide tax advice and does not file returns on your behalf. Amounts shown in your dashboard are gross of any taxes you may owe.

21. Suspension and Termination

AgriVesta may suspend or terminate a seller account, remove listings, or withhold settlement where legally permissible, in cases of breach of these Vendor Terms, suspected fraud, repeated buyer complaints, regulatory non-compliance, or a legal or regulatory direction. Where practicable we give notice and an opportunity to respond; where there is risk of ongoing harm we act first and explain afterwards.

22. Appeals Process

You may appeal any enforcement decision by emailing support@agrivestakenya.co.ke within 14 days, quoting your account email and any order references. Appeals are reviewed by a person who was not involved in the original decision, and we aim to respond within 7 working days. Decisions on appeal are final.

23. Account Closure

You may close your seller account at any time provided you have no open orders, unsettled payouts or unresolved disputes. Closure does not extinguish obligations already incurred to buyers, nor our right to retain records where the law requires it.

24. Limitation of Liability

To the maximum extent permitted by Kenyan law, AgriVesta is not liable to sellers for indirect, incidental, special or consequential loss, loss of profits, loss of business, business interruption, or loss of data arising from the use of the platform. Our aggregate liability to a seller in respect of any order is limited to the commission we actually received on that order. Nothing in this clause limits liability that cannot lawfully be limited.

25. Indemnification

Seller indemnity

Sellers indemnify and hold harmless AgriVesta, its officers, employees and agents against all claims, losses, damages, penalties, and reasonable legal costs arising from the products they list or supply, their conduct on the platform, or their breach of these Vendor Terms or applicable law.

26. Governing Law

These Vendor Terms are governed by the laws of the Republic of Kenya. The parties will attempt in good faith to resolve any dispute amicably; failing that, the courts of Kenya have exclusive jurisdiction.
